Welcome to InboundRevive. These Terms & Conditions govern the services provided by InboundRevive (“we,” “our,” or “us”) to our clients (“you,” “your,” or the “Client”). By using our website or purchasing our services, you agree to these terms and any additional terms set out in a signed service agreement or written proposal.
1. Service Agreement & Campaign Period
All service agreements begin with a minimum term of three (3) months, unless otherwise stated in your signed agreement.
Where applicable, a 30-day campaign period used for performance guarantees begins on the date the advertising campaign launches. The launch date will be confirmed by email or another agreed communication channel.
After the initial commitment period, services renew on a rolling monthly basis until cancelled in accordance with these Terms & Conditions and the applicable service agreement.
2. Termination Policy
A minimum of thirty (30) days' written notice is required to cancel ongoing services, unless otherwise stated in a signed agreement.
The applicable monthly service fee remains payable throughout the notice period. Clients may continue using the services during this period, subject to payment obligations and the terms of their agreement.
Cancellation requests must be submitted in writing to the designated InboundRevive contact or email address.
3. Early Termination Fee
If services are cancelled before the end of the agreed minimum commitment period, an early termination fee equal to one month's service fee may apply where permitted by the signed service agreement and applicable law.
Any applicable fee is intended to cover reasonable offboarding, account transition, data handover, and resource allocation costs. The specific terms of any early termination fee will be communicated in the applicable service agreement.
4. Payment Terms
The first month's service fee and any applicable setup fee are payable upfront, unless otherwise agreed in writing.
Subsequent monthly service fees are billed automatically on the agreed recurring billing date.
By enrolling in our services, you authorise InboundRevive and its payment processor to charge your designated payment method for amounts properly due under your agreement, including:
- Monthly service fees.
- Applicable setup fees.
- Agreed early termination fees.
- Additional services, add-ons, and approved usage charges.
- Advertising expenditure is paid directly to the relevant advertising platforms, such as Google or Meta, unless otherwise agreed in writing. Advertising expenditure is separate from InboundRevive's service fees.
Payments are non-refundable except where a refund is expressly provided under a written guarantee, service agreement, or applicable law.
5. Pricing & Advertising Spend Adjustment Policy
A. Advertising Spend-Dependent Pricing
Where a service plan is priced according to the advertising budget managed by InboundRevive, the monthly service fee may vary depending on the applicable advertising spend tier.
Higher advertising budgets may require additional campaign management, creative production, lead handling, CRM usage, and optimisation resources.
The applicable service fee and advertising spend tier will be specified in the Client's proposal or signed service agreement.
B. Advertising Program Tiers
Where the following program tiers are included in the Client's signed agreement, the corresponding monthly fees apply:
| Program | Monthly Ad Spend | Monthly Service Fee |
|---|---|---|
| Accelerator Program | Up to $1,500 | $1,500 |
| Power Program | Up to $3,000 | $2,200 |
| Growth Program | Up to $5,000 | $3,000 |
| Elite Program | Up to $10,000 | $5,000 |
Each tier may include different levels of campaign management, creative testing, lead handling, and optimisation, as specified in the relevant service agreement.
These tiers apply only when expressly included in the Client's agreed service package.
C. Recommended Advertising Budget
InboundRevive may recommend a minimum advertising budget based on the Client's services, location, competition, and campaign objectives.
For example, a campaign targeting multiple pest control services or service areas may require a larger budget than a campaign focused on one service in a limited area.
Recommended budgets are estimates, not guarantees of lead volume, bookings, or revenue.
D. Advertising Platform Allocation
InboundRevive may recommend or manage the allocation of the agreed advertising budget across platforms such as Google Ads and Meta Ads, according to campaign objectives and performance.
The advertising budget and service fee will be governed by the applicable agreement. Changes to the advertising budget or service package may require written approval.
E. Tier Upgrades and Downgrades
If advertising spend increases into a higher pricing tier, the corresponding service fee will apply only as provided in the Client's service agreement or following written notice and agreement.
Upgrades may require a new minimum commitment period if expressly agreed in writing.
Clients requesting a downgrade must provide at least thirty (30) days' written notice, unless otherwise agreed.
Any billing changes will be communicated before taking effect. The Client remains responsible for fees incurred under the existing agreement until the applicable change takes effect.
6. CRM Usage & Billing
Where included in the Client's service package, CRM setup, automation workflows, lead management dashboards, and reporting tools are provided according to the scope of the agreement.
Third-party usage charges for SMS messages, telephone calls, email delivery, and related platform services may be billed separately.
Where the Client uses GoHighLevel (GHL) or another third-party CRM platform, the Client is responsible for applicable usage fees and any required billing arrangements, as specified in the agreement.
Usage charges vary depending on message volume, call duration, platform rates, and other factors. Any estimates provided by InboundRevive are illustrative and are not guaranteed rates.
Clients are responsible for complying with applicable messaging, telemarketing, privacy, and consent requirements when using these systems.
7. Website Ownership, Hosting & Buyout Policy
A. Website Hosting & Management
Websites developed, hosted, or maintained by InboundRevive under an ongoing service agreement may remain on InboundRevive-managed hosting or technical infrastructure unless otherwise agreed in writing.
B. Client Ownership
The Client retains ownership of its business name, trademarks, branding, domain name registered in its name, and original content supplied by the Client.
Ownership of website designs, custom code, templates, licensed tools, proprietary systems, and other materials developed or supplied by InboundRevive will be governed by the applicable service agreement.
Third-party software, plugins, fonts, images, and other licensed materials remain subject to their respective licence terms.
C. Website Transfer & Buyout Fee
If the Client wishes to transfer a website from InboundRevive's managed infrastructure to another hosting provider, a one-time transfer and buyout fee of $1,000 USD per website may apply, where specified in the service agreement.
The applicable fee and transfer scope will be confirmed in writing before the transfer begins.
D. What the Transfer Fee Covers
Where applicable, the transfer fee covers reasonable preparation of website files and databases, migration to the Client's designated hosting environment, necessary technical configurations, and reasonable assistance with making the website operational after migration.
E. Payment Before Transfer
Any agreed transfer fee and outstanding invoices must be paid before the transfer begins, unless otherwise agreed in writing.
F. Third-Party Costs
The Client is responsible for purchasing and maintaining any required hosting, domain renewals, premium plugins, software licences, and third-party subscriptions after transfer.
G. Transfer Limitations
Proprietary InboundRevive systems, CRM automations, agency-owned subscriptions, licensed software, and third-party tools are not automatically included in a website transfer.
Non-transferable functionality may need to be replaced by the Client at its own expense.
H. Post-Transfer Responsibility
Once a website has been transferred and handed over, InboundRevive is not responsible for subsequent hosting, maintenance, security, updates, backups, or technical issues unless covered by a separate written agreement.
8. Cancellation and Refund Policy
All cancellation requests must follow the applicable service agreement and the termination requirements outlined in these Terms & Conditions.
If a project is cancelled during its early stages, InboundRevive may charge for work already completed, agreed non-refundable setup costs, and other properly documented expenses permitted under the applicable agreement and law.
Where expressly agreed in writing, additional work performed outside the original project scope may be billed at an agreed hourly rate. Any applicable rate, including a rate of $250 per hour if agreed, must be communicated to the Client.
Any refund request will be reviewed in accordance with the signed agreement, applicable guarantee terms, work completed, and applicable law.
9. Performance Guarantee, Where Applicable
Some InboundRevive service packages may include a written performance or money-back guarantee. A guarantee applies only if expressly included in the Client's signed agreement or written offer.
Unless the applicable written guarantee states otherwise, the following conditions may apply:
- The Client must meet the minimum advertising expenditure specified in the guarantee.
- The Client must provide InboundRevive with the access and information reasonably required to deliver the services.
- The Client must respond promptly to leads or allow InboundRevive to perform the agreed lead follow-up and appointment-setting services.
- The guarantee period begins on the campaign launch date confirmed by email or another agreed communication channel.
- Only the service fees expressly identified as refundable under the guarantee are eligible for a refund. Advertising expenditure, third-party costs, and setup fees are excluded unless otherwise stated in writing.
- Refund requests must be submitted in writing within the timeframe specified in the applicable guarantee.
- Eligibility and refund amounts will be assessed according to the specific written guarantee. No performance guarantee applies unless it has been expressly agreed in writing.
Where a trial period is offered, the trial duration, applicable fees, conversion to a paid service, cancellation deadline, and minimum commitment period will be disclosed in the relevant offer or service agreement.
10. Referral Program
InboundRevive may offer referral incentives to eligible Clients under a separate written referral arrangement.
Any referral bonus, eligibility requirements, payment method, and duration will be communicated in the applicable referral terms.
Unless expressly confirmed in writing, no referral bonus is guaranteed.
11. Confidentiality
Both parties agree to use reasonable care to protect confidential information received through their business relationship.
Confidential information may include non-public pricing, campaign strategies, business processes, creative materials, customer information, and proprietary systems.
Neither party may disclose the other party's confidential information to unauthorised third parties, except where disclosure is authorised, necessary to perform the agreed services, or required by law.
These confidentiality obligations continue for three (3) years after the service relationship ends, except where applicable law or a separate agreement requires a different period.
Information that is publicly available through no breach of these Terms & Conditions is not considered confidential.
12. Chargebacks & Payment Disputes
Clients agree to contact InboundRevive in good faith to attempt to resolve billing concerns before escalating a dispute, where reasonably practicable.
Nothing in these Terms & Conditions removes or limits any rights the Client may have under applicable payment network rules or law.
InboundRevive reserves the right to suspend or terminate services for unpaid invoices or unresolved payment issues, subject to the applicable agreement and law.

To the maximum extent permitted by law, InboundRevive's aggregate liability arising from the services will not exceed the service fees paid or payable by the Client for the most recent month of service, unless a different limit is stated in a signed agreement.
Where legally permissible, InboundRevive may choose to correct or re-perform affected services as an alternative remedy.
Nothing in these Terms & Conditions excludes or limits liability that cannot lawfully be excluded or limited.
15. Governing Law & Disputes
The governing law and jurisdiction applicable to a Client's agreement will be specified in the signed service agreement.
Where no governing law or jurisdiction has been agreed in writing, applicable legal rules will determine the governing law and competent forum.
Nothing in this section limits any mandatory rights or protections available under applicable law.
16. Website Terms & Policy Updates
These Terms & Conditions apply to the services provided by InboundRevive and should be read alongside any signed proposal, service agreement, privacy policy, or other applicable written terms.
InboundRevive may update these Terms & Conditions from time to time. Material changes will be communicated where required by law or the applicable agreement.
